Responsible Entity services

A managed investment scheme is a structure (often in the form of a unit trust) in which people pool money to acquire interests in assets, with the expectation of gaining a financial benefit.  They’re also known as managed funds, pooled investments or collective investments and can be registered or unregistered, wholesale or retail.

If you operate a registered managed investment with wholesale and/or retail investors our independent Responsible Entity (RE) service can help you with your compliance and governance responsibilities.

RE has the dual role of trustee and manager of a managed investment scheme.

As RE our mandate is to always act in the best interests of scheme members.  All of the activities we undertake will be made in accordance with the Corporations Act, the constitution and compliance plan.

Wholesale Trustee services

A wholesale unregistered trust is a structure in which people pool money to acquire interests in assets, with the expectation of gaining a financial benefit. As the name suggests, it is not registered and is intended for wholesale investors.

If you operate a wholesale unregistered trust with wholesale investors, our independent  wholesale trustee services can help you with your compliance and governance responsibilities

As your wholesale trustee, we’ll be responsible for the compliance and governance of your wholesale trust – ensuring it operates within the constraints of the trust constitution, the disclosure documents and the law.

Managed Investment Trust services

Under the MIT withholding tax regime, foreign investors are eligible for a reduced rate of withholding tax on fund payments from MITs if they are a resident of a country with which Australia has effective exchange of information on taxation matters.

The Trust Company is the market leader in the provision of trustee services for Managed Investment Trusts (MIT) in the property and infrastructure sectors.  To date, we have facilitated the structuring of over 40 MIT’s and over A$7 billion of foreign direct investment into Australia,

In both 2011 and 2012 we have been nominated as a finalist in the Premier’s NSW (Australia) Export Awards (Large Services Award Category) for our MIT services.

Significant Investor Visa

The Australian Government announced a new visa pathway, Significant Investor Visa (SIV), for migrant investors coming to Australia.

Under the terms of the visa, applicants must:

• Submit an expression of interest via an online service, SkillSelect
• Be nominated by a State or Territory government
• Make investments of at least $A5 million into complying investments

Through our Corporate Client business we are able to provide the following services to help facilitate SIV structures:

• Responsible Entity (RE) services for managed investment schemes
• Wholesale trustee for registered and unregistered managed investment schemes
• Specialised custody for a wide range of asset classes including property and infrastructure.

We can also offer managed investment schemes that qualify as “complying investments”. You may meet the requirements of your SIV by investing in these funds.

Feeder Funds are the perfect channel for local investors to gain offshore investment exposure.  With our wealth of experience, we can manage fund compliance for you and help minimise the risk to you and your investment. You can deal with an experienced trustee company and be confident that compliance for your investment is being properly managed.

Specialised Governance

Our expertise as an independent fiduciary allows us to provide independent governance and oversight services in specialised situations.

For example, we were appointed as an “independent body” in respect of an Australian publicly listed company’s business sale to a foreign investor.  Our role was to provide oversight in respect of any capital repatriation and maintenance of a responsible capital structure.

Our independence allows us to support out clients’ with the necessary oversight ensuring they can focus on what they need to.
